We are OnPaper (“Company,” “we,” “us,” “our”).

We operate the website https://onpaper.ai (the “Site”), as well as any other related products and services that refer or link to these legal terms (the “Legal Terms”) (collectively, the “Services”).

These Legal Terms constitute a legally binding agreement between you, whether personally or on behalf of an entity (“you”), and OnPaper, concerning your access to and use of the Services. By accessing the Services, you agree that you have read, understood, and agreed to be bound by all of these Legal Terms. If you do not agree with these Legal Terms, you must discontinue use immediately.

We reserve the right to make changes to these Legal Terms at any time. We will update the “Last updated” date accordingly. Your continued use of the Services after changes are posted constitutes acceptance of those changes.

The Services are intended for users who are at least 18 years old.

1. Our Services

The information provided when using the Services is not intended for distribution to or use by any person in any jurisdiction where such use would be contrary to law or regulation. Users who access the Services from other locations do so on their own initiative and are responsible for compliance with local laws.

2. Intellectual Property Rights

We are the owner or licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, text, photographs, and graphics (the “Content”), as well as the trademarks, service marks, and logos (the “Marks”).

4. User Registration

You agree to provide current, complete, and accurate purchase and account information for all purchases. You agree to promptly update account and payment information as needed. All payments shall be in US dollars.

We reserve the right to correct pricing errors and to refuse any order placed through the Services.

6. Subscriptions

Billing and renewal

Your subscription will continue and automatically renew unless canceled. You consent to recurring charges on your payment method until you cancel.

Cancellation

All purchases are non-refundable. You can cancel your subscription at any time by contacting us at hello@onpaperhq.com. Your cancellation will take effect at the end of the current paid term.

Fee changes

We may make changes to subscription fees from time to time and will communicate price changes in accordance with applicable law.

7. Prohibited Activities

You may not access or use the Services for any purpose other than that for which we make the Services available. As a user, you agree not to:

  • Systematically retrieve data to create a collection, compilation, or database without written permission
  • Trick, defraud, or mislead us or other users
  • Circumvent, disable, or interfere with security-related features
  • Use information from the Services to harass, abuse, or harm another person
  • Use the Services in a manner inconsistent with any applicable laws
  • Upload or transmit viruses, Trojan horses, or other harmful material
  • Engage in automated use of the system (e.g., bots, scripts, scrapers)
  • Attempt to impersonate another user or person
  • Interfere with or create an undue burden on the Services
  • Copy or adapt the Services’ software
  • Use the Services to compete with us or for any unauthorized revenue-generating purpose

The Services may contain links to third-party websites or content. We are not responsible for the content, accuracy, or practices of third-party websites. Accessing third-party websites is at your own risk.

9. Services Management

We reserve the right to:

  1. Monitor the Services for violations of these Legal Terms
  2. Take appropriate legal action against violators
  3. Restrict access to or disable any content at our sole discretion
  4. Otherwise manage the Services to protect our rights and facilitate proper functioning

The Services are hosted in Canada. If you access the Services from another region, you consent to having your data transferred to and processed in Canada.

11. Term and Termination

These Legal Terms remain in effect while you use the Services. We reserve the right to deny access to the Services to any person for any reason, including breach of these Legal Terms. We may terminate your account and delete your content at any time, without warning.

If your account is terminated, you are prohibited from creating a new account under your name or any false name.

12. Modifications and Interruptions

We reserve the right to change, modify, or remove the contents of the Services at any time without notice. We cannot guarantee the Services will be available at all times. We have no liability for any downtime, interruption, or discontinuance of the Services.

13. Governing Law

These Legal Terms are governed by and construed in accordance with the laws of the Province of Quebec, Canada, without regard to conflict of law principles.

14. Dispute Resolution

Informal negotiations

The parties agree to first attempt to negotiate any dispute informally for at least thirty (30) days before initiating formal proceedings.

Jurisdiction

If informal negotiations fail, any dispute will be resolved in the courts located in Montreal, Quebec, Canada.

15. Disclaimer

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTIES ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICES’ CONTENT.

16. Limitations of Liability

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES. OUR LIABILITY WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID BY YOU TO US DURING THE SIX (6) MONTH PERIOD PRIOR TO THE CAUSE OF ACTION.

17. Indemnification

You agree to defend, indemnify, and hold us harmless from any loss, damage, liability, or claim arising out of your use of the Services, breach of these Legal Terms, or violation of the rights of a third party.

18. User Data

We maintain certain data that you transmit to the Services for managing performance. You are solely responsible for all data you transmit. We shall have no liability for any loss or corruption of your data.

19. Miscellaneous

These Legal Terms constitute the entire agreement between you and us. Our failure to enforce any right or provision shall not operate as a waiver. If any provision is determined to be unenforceable, it is deemed severable and does not affect the remaining provisions. No joint venture, partnership, or employment relationship is created by these Legal Terms.
